1. Introduction

Welcome to UpGrades. These Terms of Service ("Terms") govern your use of the UpGrades platform and services (collectively, the "Service"), operated by Rogue Digital Ltd (trading as UpGrades), a company registered in England and Wales with registered office at 71-75 Shelton Street, Covent Garden, London WC2H 9JQ, United Kingdom (VAT: GB458050200).

UpGrades is an educational technology platform providing GCSE revision materials, practice questions, mock exams, and personalised learning tools to help students prepare for their examinations.

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Service.

2. Eligibility

The Service is intended for students aged 14 and over. By using the Service, you confirm that:

• You are at least 14 years old
• If you are under 16, you have obtained parental or guardian consent to use the Service
• All information you provide is accurate and truthful
• You have the legal capacity to enter into these Terms

Parents and guardians may create accounts to monitor their child's progress and provide consent where required under UK data protection law.

3. Account Registration

To access certain features of the Service, you must create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorised use of your account

We reserve the right to suspend or terminate accounts that violate these Terms or that we believe may compromise the security or integrity of the Service.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

• Use the Service to cheat on examinations or assessments
• Reproduce, duplicate, copy, or resell any part of the Service without our express written permission
• Attempt to reverse engineer, decompile, or extract the source code of the Service
• Use automated systems (bots, scrapers, etc.) to access the Service
• Upload or transmit viruses, malware, or any other malicious code
• Engage in any conduct that restricts or inhibits anyone's use of the Service
• Harass, abuse, or harm another person or group
• Impersonate any person or entity or falsely state your affiliation with a person or entity

We reserve the right to investigate and take appropriate action against anyone who violates this provision, including removing content and terminating accounts.

5. Intellectual Property

The Service and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, audio, questions, answers, explanations, and the design, selection, and arrangement thereof) are owned by Rogue Digital Ltd, its licensors, or other providers of such material and are protected by United Kingdom and international copyright, trademark, patent, trade secret, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable licence to access and use the Service for your personal, non-commercial educational purposes. This licence does not include any right to:

• Resell or make commercial use of the Service or its contents
• Collect and use any product listings, descriptions, or prices
• Make derivative use of the Service or its contents
• Download or copy account information for the benefit of another party
• Use data mining, robots, or similar data gathering and extraction tools

6. Subscription and Payment

UpGrades offers both free and paid subscription tiers:

• Free Tier: Limited access to practice questions and basic features
• Paid Tiers: Full access to all subjects, mock exams, personalised study plans, and premium features

Payment terms:

• Subscriptions are billed in advance on a monthly or annual basis
• All fees are in GBP and include VAT where applicable
• Payment is processed through secure third-party payment providers
• Subscriptions automatically renew unless cancelled before the renewal date
• We reserve the right to change our fees with 30 days' notice

School and teacher accounts may have different pricing structures and terms as agreed separately.

7. Cancellation and Refunds

You may cancel your subscription at any time through your account settings or by contacting us at hello@upgrades.app. Cancellation will take effect at the end of your current billing period.

Refund policy:

• You have a 14-day cooling-off period from the date of purchase during which you may request a full refund
• After 14 days, subscriptions are non-refundable except where required by law
• We may provide refunds at our discretion for exceptional circumstances
• No refunds will be provided for accounts terminated due to violation of these Terms

8. Data Protection

We are committed to protecting your privacy and personal data. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which forms part of these Terms.

By using the Service, you consent to our collection and use of your data as described in the Privacy Policy. We comply with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.

If you are under 13, we do not knowingly collect your personal data. If you are between 13 and 16, we may require parental consent for certain processing activities.

9. Limitation of Liability

To the fullest extent permitted by law:

• The Service is provided "as is" and "as available" without warranties of any kind
• We do not warrant that the Service will be uninterrupted, secure, or error-free
• We do not guarantee any specific results from using the Service
• We are not responsible for the accuracy or reliability of any educational content
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under UK law.

Our total liability to you for all claims arising from your use of the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or £100, whichever is greater.

10. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including:

• Breach of these Terms
• Failure to pay fees when due
• At your request
• Discontinuation of the Service

Upon termination:

• Your right to use the Service will cease immediately
• We may delete your account and all associated data
• You remain liable for any fees incurred before termination
• Provisions that by their nature should survive termination will survive

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by:

• Posting the new Terms on this page
• Updating the "Last updated" date
• Sending an email notification to your registered email address

Your continued use of the Service after any changes constitutes your acceptance of the new Terms. If you do not agree to the revised Terms, you must stop using the Service.

These Terms are governed by and construed in accordance with the laws of England and Wales. You agree to submit to the exclusive jurisdiction of the courts of England and Wales to resolve any dispute arising from these Terms or your use of the Service.
